for the Utopia Community Token
§ 1 General Information about the Issuer
(1) The issuer of the Utopia Community-Token (“Token”) is Utopia Community GbR, Ernst Böhmstr. 39, 49451 Holdorf, Germany.
(2) The Issuer is represented by the shareholders. The shareholders of Utopia Community GbR are Mr Philipp Hauschke, Mr Jury Grenz, Mr Michel Büdenbender, Mr Chris Lemkemeier and Mr Cedrik Kleine-Beek.
(3) The Issuer can be reached at the following e-mail address: info@utopia-community.com.
(4) The Issuer’s shareholders can be contacted via the shareholder and managing director Jury Grenz at the following address: Utopia Community GbR, Ernst Böhmstr. 39, 49451 Holdorf.
(5) The main business activity of the Issuer is the promotion of social and innovative projects in the field of environmental protection and charity with the help of a cryptocurrency to be issued by the Company, including consulting, project planning as well as the preparation and implementation of construction projects.
(6) The Issuer’s activities do not require the authorisation of a supervisory authority. In particular, the Issuer will not engage in any brokerage or property development activities. The Issuer is subject to general trade supervision by the Staatliches Gewerbeaufsichtsamt Oldenburg, Theodor-Tantzen-Platz 8, 26122 Oldenburg. Beyond that, the Issuer is not subject to any special supervision.
§ 2 General Information about Utopia Community Tokens (UWCT) and the Issue
(1) The Tokens generated by the Issuer are called Utopia Community Tokens and are given the initials UWCT.
(2) The Tokens will run over the chain of the TRON TRX Network and will be executed as TRC-20 Tokens.
(3) Utopia Community Tokens are utility tokens. They do not grant any participation rights to the Issuer.
(4) The Issuer shall issue a total series of 100,000,000,000 UWCT (One Hundred Billion Utopia Community Tokens). For the IEO, the Issuer shall freely issue a total of 1,000,000,000 UWCT (One Billion). The other tokens will be released into the market in piecemeal over the course of the following years.
(5) All information is based on the planning prior to the issuance of the first Tokens and is non-binding. They may be changed by the Company at any time due to the expiry of the issue.
(6) The Issuer may issue further Tokens with the same entitlement at a later date.
§ 3 Issue of the Tokens
(1) The Tokens shall be put into circulation and sold to the public for the first time within the framework of an IEO (Initial Exchange Offering) via various crypto exchanges in accordance with the conditions of sale applicable there. The selling price within the framework of the issue at the IEO is US$0.01/UWCT.
(2) The Utopia Community Tokens will be issued against various cryptocurrencies such as Bitcoin (BTC) and Ethereum (ETH) and fiat money. However, the currencies or coins/tokens against which the token is ultimately issued are regulated on an exchange-specific basis. The number of Utopia Community Tokens issued is equal to the number of US$0.01 deposited by the Holder or the equivalent in US$0.60 of the number of cryptocurrency units (BTC, ETH, etc.) surrendered at the time of surrender according to the exchange rate between US$ and the relevant cryptocurrency (US$ equivalent) published on the relevant exchange. The historical daily average exchange rate published on the calendar day on which the payment is received shall be decisive for the determination of the US-$-equivalent.
(3) The Issuer shall immediately inform about such a change by publication on its website http://www.utopia-community.com. In the case of cryptocurrencies, a transfer shall be deemed to have taken place if at least one confirmation of the transfer has been made on the respective blockchain of the cryptocurrency. A premium is not charged.
(4) To participate in the IEO, the interested parties must register on the corresponding cryptocurrency exchange and identify themselves there in accordance with the money laundering regulations.
(5) After receipt of payment, the relevant exchange transfers the purchased number of Utopia Community Tokens to the acquirer’s exchange wallet.
(6) Holders hold their Utopia Community Tokens on their own Wallet, which is compatible with the TRON Network.
§ 4 Right of revocation and consequences of revocation
(1) “Consumer” means any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed.
(2) The consumer has a statutory right of revocation as follows: CANCELLATION POLICY

You may revoke your contractual declaration within 14 days without giving reasons by means of a clear declaration. The period begins after receipt of this instruction on a durable data medium, but not before conclusion of the contract and also not before fulfilment of our duty to inform according to Article 246b § 2 paragraph 1 in conjunction with Article 246b § 1 paragraph 1 EGBGB. To comply with the revocation period, it is sufficient to send the revocation in good time if the declaration is made on a durable data medium (e.g. letter, fax, e-mail). Pursuant to Section 312g (2) No. 8 of the German Civil Code (BGB), the consumer shall not be entitled to a statutory right of revocation as of the inclusion of the tokens in the free trading of a crypto exchange. This shall also apply if the exchange trading is commenced during the 14-day revocation period.

CONSEQUENCES OF REVOCATION
In the event of an effective revocation, the services received by both parties shall be returned. You are obliged to pay compensation for the value of the service provided up to the time of revocation if you were made aware of this legal consequence before submitting your contractual declaration and expressly agreed that we should begin to provide the service in return before the end of the revocation period. If there is an obligation to pay compensation for lost value, this may mean that you still have to fulfil the contractual payment obligations for the period until the revocation. Your right of withdrawal expires prematurely if the contract has been completely fulfilled by both parties at your express request before you have exercised your right of withdrawal. Obligations to refund payments must be fulfilled within 30 days. The period begins for you with the dispatch of your notice of cancellation, for us with its receipt.

§ 5 Register, administration system
(1) The Utopia Community Token is assigned a register on the TRON-Chain. The register contains a list of all addresses with which Tokens are held and all Token transfers in the past. The holders are not entered in the register by name, but with their respective blockchain addresses (public key of the wallet), which can be viewed in the block explorer https://steexp.com/.
(2) Token holders can register their Wallet in the administration system of the Utopia Community. The administration system records all registered Wallets. The administration system gives the holder an overview of his tokens and all transactions made from the time of registration.
(3) Authorisations (§ 7) can only be exercised by the Token Holders registered in the administration system.
§ 6 Transfer
(1) The following crypto exchanges are intended as trading centres:
Coinbase, Ireland,
Kraken, GB and
Bitpanda, Austria.
(2) The transfer of the Utopia Community Tokens requires the agreement between the previous holder and the new holder on the assignment of the rights arising from the Utopia Community Tokens (§ 398 BGB).
(3) An entry in the register is made when the previous Holder transfers the Utopia Community-Tokens allocated to its Wallet (Utopia Community-Tokens to be transferred) to the Wallet of the new Holder (“Assignment”). A transfer of the token-based Utopia Community-Tokens outside the Blockchain and thus without entry in the register is not permitted.
(4) The Token Holder is the person whose cryptographic address (Public Key) is assigned to his Wallet to the Utopia Community Tokens present on the TRON Chain.
§ 7 Rights of the Token Holder
The Token gives its holder certain rights within the Utopia Community. Token Holders with at least 50 Utility Tokens are members of the Utopia Community. The Utopia Community is the totality of its members, i.e. all people who hold at least 50 Tokens.
The Utopia Community forms an internet-based forum in which social and ecological projects are developed, evaluated and selected for implementation. The projects selected for implementation are proposed to the Issuer for implementation. The Issuer is free in the selection of the proposals to be implemented and in the design of the project process. The Issuer shall carry out the project implementation on its own responsibility under civil law and financially. The token or the Utopia Community has no right to issue instructions to the issuer and its organs.
There are a total of 6 different membership levels, each with different rights and awards within the community. The 6 membership levels include the following rights:

A member’s retention of 5.000 tokens for a period of 6 months entitles him to participate in the Resort Program

If a member keeps at least 5.000 tokens for a period of 6 months, he/she is eligible to participate in the Resort Program. Right of veto in the implementation of environmental protection and aid projects (e. g. B. to clarify the issues: which company should ultimately be contracted to carry out the project? Is the proposed company really a good choice? A clear objective on the part of the company is to involve the members directly in the design of the project if they so wish.

§ 8 Applicable law and place of jurisdiction
(1) Applicable Law
The form and content of the Utopia Community Tokens as well as the rights and obligations of the Holders and the Issuer shall be governed in all respects by German law, excluding private international law and excluding the UN Convention on Contracts for the International Sale of Goods.
(2) Jurisdiction
Non-exclusive jurisdiction for all lawsuits or other proceedings arising in connection with the token-based Utopia Community-Tokens (“Legal Disputes”) shall be the Regional Court of Osnabrück.
